Berwick Court Management Limited (BCML)

  • BCML is a company owned by the leaseholders of the 106 flats at the development and it has existed since the flats were first built.
  • Each leaseholder owns one share in BCML and when a flat is sold and legal ownership transferred the share must also transfer.
  • BCML is the residents’ management company of the development: it oversees the maintenance of the communal areas (paid for via service charge. This includes things as cleaning, repairs to communal parts etc),
  • in general it is the company with which flat owners will mostly deal and where most work of a routine nature is conducted.

Coroscoba Limited

  • This company owns the freehold of the development, and the shareholders are 79 of the 106 flat leaseholders in the Berwick Court development. The freehold was purchased in July 2020 via a collective enfranchisement of 79 flat leaseholders from the original freeholder (the Post Office) and developer (Bellway).
  •  Each of the 79 flat leaseholders owns one share in Coroscoba, representing effectively their flat. When a flat is sold then the share has to be sold with it.
  • Coroscoba’s main activities are collecting ground rent, placing the buildings insurance and invoicing BCML to put it into funds for the cost of the same (which is collected via the service charge), and leading on/instructing BCML/Cygne to act in its name on certain matters (including lease enforcement).
  • It owns all the land and buildings outside the demise of the flats and leases. It is landlord of UK Power Networks, which has a power intake room.

Cygne Limited

  • This company owns 27 reversionary leases of the 27 flats that did not participate in the purchase of the freehold. The leases owned by Cygne were granted to it by Coroscoba.
  • In practice, Cygne has entered into a legal agreement with Coroscoba that Coroscoba and BCML act as its agents in terms of acting as landlord of the 27 relevant flats, collecting in ground rents and services charges and lease management/enforcement. It acts as Coroscoba requires it to do so. It is therefore a relatively inactive company.
  • It is helpful that Cygne some common directors with Coroscoba.
  • Its main activities are handling ground rent collection and responding to any requests for lease extensions from its tenants/lease breach enforcement.
